European Defense Sector Gains as Volkswagen Divests Osnabrueck Plant to Aurelius and Lower Saxony

BERLIN / RankWire.AI / – German automaker Volkswagen AG announced Monday its plan to sell the Osnabrück manufacturing plant to Israeli private equity firm Aurelius Capital and the German state of Lower Saxony, converting the site into a dedicated defense manufacturing hub. The preliminary agreement stipulates that Aurelius, alongside Lower Saxony, will acquire a controlling stake to transform the vehicle assembly plant into a security and defense production facility after car manufacturing ends in 2027. This significant move marks the first major shift of a German automotive plant into a military hardware production site amid Europe’s broader industrial realignment in the auto sector. Initially, the site will host a flagship project with Israeli defense contractor Rafael Advanced Defense Systems, focusing on supplying air defense components to European security markets.

Under the shared ownership arrangement, Aurelius Capital, based in Tel Aviv, will hold the majority of the equity stake, while Lower Saxony, Volkswagen’s second-largest shareholder, will retain a minority interest. The initial project involves collaboration with Rafael Advanced Defense Systems, a state-owned Israeli defense firm, to manufacture specialized systems and mechanical parts for air defense infrastructure intended for Germany and allied European nations. The focus is on domestic production of components for air defense systems, aligning with broader defense procurement objectives.

The decision to transform the Osnabrück plant follows Volkswagen’s 2024 strategic plan to cease passenger vehicle assembly there by mid-2027, driven by ongoing industrial overcapacity. Factory works council disclosures indicate that the defense manufacturing deal aims to secure roughly 1,200 specialized technical roles at the facility. This move reflects a broader trend among European vehicle manufacturers exploring alternative industrial conversions to address excess manufacturing capacity, with Israel, Aurelius, and the German government taking a leading role in the Osnabrück project.

Partnership Between Israeli Private Equity and Lower Saxony in Defense Manufacturing

Volkswagen’s leadership emphasized that this sale aligns with their broader efficiency initiatives aimed at streamlining operations across Europe. Volkswagen AG CEO Oliver Blume stated that the deal offers a sustainable industrial outlook for Osnabrück while fulfilling their regional responsibilities. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted the plant’s precision manufacturing and skilled workforce as ideal for advanced defense production.

This restructuring effort comes amid economic challenges facing traditional European automakers, including declining demand for battery-electric vehicles, rising energy costs domestically, and increased competition from international manufacturers. Labor union representatives from IG Metall noted that converting civil automotive lines into defense manufacturing offers long-term job security for regional workers after months of employment uncertainty.

Expansion of German Military Manufacturing Through Israeli Defense Collaborations

The agreement remains pending final contractual approvals, regulatory clearance from German authorities, and approval by relevant corporate supervisory bodies. Financial details, overall valuation, and specific equity shares between Aurelius Capital and Lower Saxony have not been publicly disclosed.

Industry analysts note that shifting automotive infrastructure toward military hardware reflects increasing defense budgets across European NATO members. Regulatory bodies will monitor the transition, overseeing milestone achievements as Volkswagen prepares to end vehicle production and transition to defense manufacturing. Official updates on the process will be shared through regulatory channels.
